Agreement to Terms
By accessing or using SkillStake ("the Service"), available at https://skillstake.com, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you must not use the Service.
The Service is operated by SeaQae Group (40 300 987 116), a sole trader based in Perth, Western Australia.
Description of Service
SkillStake is a software platform that enables businesses and individuals to create, manage, and process payments for skill-based prize challenges.
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time. We will provide reasonable notice of significant changes where practicable.
Account Registration
To use certain features, you may need to create an account. You agree to:
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Promptly update your information if it changes
- Accept responsibility for all activity under your account
- Notify us immediately of any unauthorised access
We reserve the right to suspend or terminate accounts that violate these terms.
Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Attempt to gain unauthorised access to any part of the Service
- Interfere with or disrupt the Service or servers
- Upload malicious code, viruses, or harmful content
- Scrape, crawl, or harvest data from the Service without permission
- Impersonate another person or entity
- Use the Service to send spam or unsolicited communications
- Reverse-engineer, decompile, or disassemble the Service
Violation of these terms may result in immediate account termination.
Subscription Terms
SkillStake offers paid subscription plans. By subscribing to a paid plan:
- You authorise us to charge your chosen payment method on a recurring basis (monthly or annually, depending on your selected plan)
- Subscription fees are billed in advance at the start of each billing period
- You can cancel your subscription at any time through your account settings
- Cancellation takes effect at the end of your current billing period — you retain access until then
- We may change subscription pricing with 30 days' notice. Price changes apply at the start of your next billing period after the notice period
- All prices are displayed in Australian dollars unless otherwise stated
- GST is not currently applicable (sole trader below GST threshold). We will update pricing to include GST if and when registration is required
Intellectual Property
The Service, including all content, features, and functionality (code, design, text, graphics, logos, and trademarks), is owned by SeaQae Group and is protected by Australian and international intellectual property laws.
You retain ownership of any content you upload to the Service. By uploading content, you grant us a limited, non-exclusive licence to use, display, and process that content solely to provide the Service to you.
Data Portability
You can export your data from SkillStake at any time through your account settings or by contacting us. We support data export in standard, portable formats. Your data belongs to you — we will never lock you in.
Upon account deletion, we will delete your personal data within 30 days, except where retention is required by law.
Consumer Guarantees
Under the Australian Consumer Law (ACL), you have consumer guarantee rights that cannot be excluded, restricted, or modified. These include guarantees that:
- Services will be provided with due care and skill
- Services will be fit for the purpose you made known to us
- Services will be provided within a reasonable time
- Digital products will be of acceptable quality and match their description
If our service fails to meet a consumer guarantee, you may be entitled to a remedy including repair, replacement, or refund depending on whether the failure is major or minor.
Nothing in our Terms of Service is intended to exclude, restrict, or modify your consumer guarantee rights under the ACL. Any term that attempts to do so is void to the extent of the inconsistency.
Limitation of Liability
To the maximum extent permitted by law (and subject to your consumer guarantee rights under the ACL which cannot be excluded), SeaQae Group:
- Is not liable for any indirect, incidental, special, consequential, or punitive damages
- Is not liable for any loss of profits, data, use, or goodwill
- Has total aggregate liability limited to the amount you paid us in the 12 months preceding the claim
These limitations apply regardless of the legal theory on which the claim is based.
Indemnification
You agree to indemnify and hold harmless SeaQae Group from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these terms, or your violation of any third-party rights.
Dispute Resolution
If a dispute arises:
1. **Informal resolution first:** Contact us to discuss the issue. Most disputes can be resolved through good-faith communication.
2. **Mediation:** If informal resolution fails, either party may refer the dispute to mediation administered by the Resolution Institute (Australia).
3. **Governing law:** These terms are governed by the laws of Western Australia. The courts of Western Australia have non-exclusive jurisdiction.
Nothing in this clause limits your right to lodge a complaint with the ACCC or seek urgent injunctive relief.
Termination
We may terminate or suspend your access to the Service immediately, without prior notice, if you breach these terms.
You may terminate your account at any time by contacting us or using the account deletion feature. Upon termination, your right to use the Service ceases immediately, but these terms survive to the extent they need to (e.g., liability, IP, dispute resolution).
Severability
If any provision of these terms is found to be unenforceable, the remaining provisions continue in full force and effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
Changes to These Terms
We may update these Terms of Service from time to time. We will notify you of material changes by email or by posting a notice on https://skillstake.com at least 14 days before the change takes effect.
Your continued use of the Service after the effective date of changes constitutes acceptance of the updated terms.
